Terms of Service

1. The service

Minerva, operated by nnLabs, provides on-demand engineering consulting, personal consulting, and agentic development workshops for founders building on the Audos platform. Services may include prompt guidance, blocker diagnosis, first-principles problem dissection, live technical guidance, and ongoing knowledge-base-supported Agentic Help.

Audos provides the underlying platform. Minerva is a separate nnLabs service and is responsible for the consulting and company-level practices described in these terms.

2. Who the service is for

Minerva is for serious founders using Audos or Otto who have reached a technical wall and are committed to resolving it. It is not intended for casual exploration or as a substitute for doing the work needed to build and validate a product. You must be legally able to enter into a binding agreement in your jurisdiction.

3. Tiers and pricing

Prices are in U.S. dollars. The booking or checkout page will show the selected tier before payment. Dodo Payments processes payments; Minerva does not store raw card data.

4. Booking and delivery

For a live session, you choose the delivery method at booking:

• Workspace access: you provide an email address so the founder can manually grant temporary workspace access. The founder manually revokes that access after the session.
• Google Meet: the session is delivered through a video-call link.

You are responsible for providing accurate booking details, attending at the scheduled time, maintaining a working device and connection, and safeguarding any access links. Session scope is limited by the purchased tier and time.

5. Refunds

The 48-hour window begins when the relevant session is delivered. This guarantee applies per session. For the $10/month Agentic Help subscription, a refund is available only when requested within 48 hours of the applicable monthly charge. After that window, monthly charges are non-refundable except where law requires otherwise.

Request a refund at hello@ottoandminerva.com. Dodo Payments may take additional time to return funds after Minerva approves the refund.

6. Technical guidance and outcomes

Minerva provides technical engineering guidance and consulting—not a guarantee of a particular technical, commercial, fundraising, revenue, or product outcome. We use the founder’s best effort and a first-principles plus dissection methodology. Recommendations depend on the information and access you provide, the time purchased, and technical conditions that may be outside Minerva’s control.

You remain responsible for decisions, testing, backups, security review, regulatory review, deployment, and use of your product. Do not treat Minerva guidance as legal, tax, financial, medical, or other regulated professional advice.

7. Acceptable use

You may use Minerva only for lawful technical engineering guidance. You must not:

• submit data or systems you do not have permission to share or access;
• request malware, unauthorized access, fraud, harassment, abuse, or other unlawful activity;
• attempt to bypass access, payment, membership, or security controls;
• interfere with Audos, Minerva, or another customer’s systems; or
• share paid-member knowledge-base access outside the applicable membership.

We may refuse or stop work that is unsafe, unlawful, abusive, outside scope, or unsupported by the purchased tier.

8. Intellectual property

You may use the advice, frameworks, guidance, and session-specific deliverables provided to you for your own business and product. You keep ownership of materials you provide and your underlying product. Minerva and nnLabs retain ownership of their pre-existing methods, general know-how, templates, processes, and knowledge base, including improvements that do not disclose your confidential information.

These terms do not grant either party rights to the other party’s trademarks or branding.

9. Privacy and confidential material

Our Privacy Policy explains personal-data handling. Our Data Handling & Retention Summary gives a shorter explanation. Do not share secrets, production credentials, regulated data, or third-party confidential information unless it is necessary, authorized, and agreed for the session. Revoke temporary credentials and workspace access after use.

10. Service availability and limits

We may change, suspend, or discontinue a tier or feature, but changes do not remove rights already earned for a paid session or under applicable law. To the extent permitted by law, the service is provided as available and without implied guarantees beyond the express refund promise above. Nothing in these terms excludes liability that cannot legally be excluded.

11. Governing law

These terms are governed by the laws of the Commonwealth of Puerto Rico and applicable laws of the United States, without regard to conflict-of-law rules. Courts with jurisdiction in Puerto Rico will be the venue for disputes unless applicable consumer law requires another forum.

12. Changes and contact

We may update these terms as the service changes. We will update the date above and provide appropriate notice for material changes. Continued use after revised terms take effect means acceptance, to the extent permitted by law.
